This is a license agreement between ComPsych Corporation ("ComPsych") and you, as user, for the use of the EstateGuidance web application, including any accompanying documentation and forms (the "Service"). By using this Service, you indicate that you accept all terms of this license agreement. If you do not agree to all the terms and conditions of this agreement, do not use the Service.
Grant of License
ComPsych, as licensor, grants to you the right to use the Service to produce estate planning documents for yourself and your immediate family, subject to the terms and restrictions set forth in this license agreement.
Copy, Use and Transfer Restrictions
All website copy, content, forms, documents, and accompanying documentation are copyrighted. Under this license agreement, you may not use the Service to prepare documents for commercial or nonprofit purposes, nor use the Service to prepare documents for people outside your immediate family.
Disclaimer of Warranty and Limited Warranty
THIS SERVICE IS SOLD "AS IS," WITHOUT ANY IMPLIED OR EXPRESS WARRANTY AS TO ITS PERFORMANCE OR TO THE RESULTS THAT MAY BE OBTAINED BY USING THE SERVICE.
No Legal Advice and Your Responsibilities
The Service is not a substitute for legal advice from an attorney. ComPsych offers no legal advice or recommendations. ComPsych is not a law firm. The Service uses the answers you provide to automatically create estate planning forms. At no time does ComPsych review your answers for legal sufficiency, provide advice or apply the law to the facts of your particular situation. If you want help understanding how the law applies to your particular circumstances, or deciding which estate planning documents are best for you and your family, you should consult with a qualified attorney. Any documents you make using the Service are yours, and it is your responsibility to be sure they reflect your intentions and are binding under law.
Limitation of Liability and Damages
UNDERSTANDING THE LIMITATIONS OF THE SERVICE AS SET OUT ABOVE, THE ENTIRE LIABILITY OF COMPSYCH, OR ITS REPRESENTATIVES, FOR ANY REASON, SHALL BE LIMITED TO THE AMOUNT YOU PAID TO COMPSYCH FOR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPSYCH AND ITS REPRESENTATIVES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS AND THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF COMPSYCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. COMPSYCH AND ITS REPRESENTATIVES' TOTAL LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THE AMOUNT PAID BY YOU FOR USE OF THE SERVICE. SOME STATES DO NOT ALLOW THE LIMITATION AND/OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
ComPsych shall have the right to change or add to the terms of this agreement at any time, and to change, discontinue or impose conditions on any aspect or feature of the Service. Any such change will be effective upon notification to you by any means reasonable to give you actual or constructive notice, including by posting such terms in the Service itself, and your continued use of the Service will indicate your agreement to any such change.
By using the Service, you agree that this license is the complete and exclusive statement of the agreement between you and ComPsych regarding the Service. However, this agreement does not limit any rights that ComPsych may have under trade secret, copyright, patent, trademark or other laws. If any provision of this agreement is found to be invalid or unenforceable under applicable law, then any remaining provisions will continue in full force and effect. No delay or failure on the part of ComPsych to exercise any of their rights under the agreement, or under law, shall be construed as a waiver of those rights.
